Shoreline Medical Billing Services � Terms of Use

By accessing, completing, or submitting the Shoreline Medical Billing Services ("Shoreline," "we," "us," or "our") provider information form (the "Form"), you ("you" or "Provider") unconditionally agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement governing your submission of information through the Form and any potential engagement with Shoreline for medical billing and revenue cycle management services (collectively, the "Services"). If you do not agree to these Terms in their entirety, you are prohibited from submitting the Form or engaging with Shoreline.

1. Purpose and Scope

The Form is intended solely for physicians, healthcare providers, or their authorized representatives to voluntarily submit basic contact and professional information (such as name, phone number, email, practice name, and comments). This information allows Shoreline to evaluate potential partnerships and offer Services. Submission of the Form does not establish a business relationship or guarantee that Services will be provided. Shoreline reserves the right to reject any submission at its sole discretion without obligation to provide a reason.

2. Eligibility and Representations

By submitting the Form:

• You are a licensed healthcare provider, practice administrator, or an authorized representative acting on behalf of a provider or practice.
• You are at least 18 years of age.
• The information you provide is accurate, complete, and truthful to the best of your knowledge.
• You have the authority to provide the submitted information and to be contacted by Shoreline for potential Services.

Any misrepresentation or breach of these statements may result in rejection of your submission.

3. Your Obligations

You agree to:

• Provide accurate and lawful information, including your full name, phone number, email address, and relevant practice or business information.
• Not submit any sensitive or Protected Health Information (PHI) unless explicitly requested in writing by Shoreline.
• Only use the Form for legitimate business inquiries related to Shoreline�s Services.
• Refrain from submitting false, fraudulent, defamatory, or misleading information.

Failure to comply may result in termination of potential engagement and legal action.

4. Intellectual Property

The Form, Shoreline�s website, and all related content are the exclusive property of Shoreline and protected under applicable intellectual property laws. You are granted a limited, non-transferable right to use the Form solely to submit information. Unauthorized use, duplication, or distribution is prohibited and may result in legal action.

5. Prohibited Conduct

You agree not to:

• Submit information that is false, misleading, or fraudulent.
• Submit any PHI unless specifically requested and protected by a formal agreement.
• Attempt to interfere with the operation or security of Shoreline�s website or systems.
• Use the Form for spam, solicitations, or unrelated inquiries.
• Impersonate another person or entity.

Violations may result in termination and legal action.

6. Use of Submitted Information

By submitting the Form, you grant Shoreline a non-exclusive, royalty-free license to use, store, and process the submitted information for purposes such as:

• Evaluating your inquiry for eligibility.
• Contacting you regarding potential services.
• Internal administrative and marketing purposes.
• Complying with legal or regulatory obligations.

Shoreline will not sell your information to third parties and will treat it with commercially reasonable care.

7. Indemnification

You agree to indemnify and hold harmless Shoreline and its affiliates, officers, employees, and agents from any claims or liabilities arising from:

• Your breach of these Terms.
• Submission of false, misleading, or unauthorized information.
• Any violation of applicable law in connection with your use of the Form.

8. Termination and Rejection

Shoreline reserves the right to reject your Form submission or terminate access at any time, for any reason or no reason, without liability. Your obligations under these Terms shall survive any termination.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Maine. Any disputes shall be resolved exclusively by binding arbitration in Maine under the rules of the American Arbitration Association. The decision shall be final. You waive any right to a class action or jury trial.

10. Modifications to Terms

Shoreline may update these Terms at any time. Changes will be posted on the website, and continued use constitutes acceptance. You are responsible for reviewing the Terms periodically.

11. Messaging Terms & Conditions Clause

12. Miscellaneous

• Severability: If any provision is unenforceable, the remainder remains valid.
• Entire Agreement: These Terms represent the full agreement.
• No Waiver: Failure to enforce any part is not a waiver of rights.
• Assignment: You may not assign rights; Shoreline may assign at its discretion.
